Kirsten Liu is our legal manager based in Hong Kong /Chongqing and a core member of the Corporate Finance and Capital Markets team, specialising in corporate finance transactions, HK IPOs (acting for both issuers and underwriters), and ongoing corporate compliance advisory for listed companies in Hong Kong.

Capital Market Transactions

Advised JP Morgan, Guotai Junan International, and CMB International on the proposed Main Board listing of Wanbang Digital Energy Co., Ltd. on HKEX.
Advised BYD Electronics (HKEX: 285) on Hong Kong law and Hong Kong Listing Rules compliance regarding its equity acquisition of a subsidiary of Jabil Inc. The transaction involved a baseline consideration of approximately RMB 15.8 billion (equivalent to USD 2.2 billion), subject to adjustments for cash, debt, and net working capital, for the acquisition of Jabil Inc.’s mobile electronics manufacturing business across the Asia-Pacific region.
Acted for CRCS (HK) Limited (a wholly-owned subsidiary of China Resources (Holdings) Co., Ltd.) in its 60% equity acquisition of SWCS International Holding Limited (a leading Hong Kong-based corporate services provider) for a total consideration of HKD 276 million.
Assisted China Resources Power (HKEX: 836) with its HKEX H-share placement, with a targeted fundraising amount of approximately HKD 7.2 billion.
Advised BYD Company (HKEX: 1211) on its H-share placement in 2021, raising approximately HKD 13.7 billion.
Participated in the due diligence of multiple cross-border M&A projects across various jurisdictions, including Dubai, Hong Kong, BVI, and Cayman Islands, drafted due diligence reports and collaborated with overseas counsels to conduct in-depth analysis of potential legal risks, as well as applicable laws, regulations and statutory provisions.
